Terms of Service

Omnate Ltd (registration no. 10603953 trading as Omnate, referred to as "Omnate", "us" or "we") is a not-for-profit company operating www.omnate.com and its associated services (collectively referred to as "Website" or "Services"). These Terms of Service (the "Terms") govern your access to and use of the Website, including any information, text, graphics, photos, videos or other materials appearing on the Website (collectively referred to as "Content").

Your access to and use of the Website are conditioned on your acceptance of and compliance with these Terms. By accessing or using the Website you agree to be bound by these Terms. These Terms may change or be updated from time to time. It remains your responsibility to access and check these Terms wherever you access the Website. The latest version of these Terms will govern any future usage by you of the Website.

The Website

The Website allows you to donate monthly to any of the causes listed on the Website (the "Causes") representing specific organisations that Omnate deems will best use your donation to positively impact each of those Causes (the "Charities"). The Causes and Charities can be found here. To ensure the Causes always represent the best organisations supporting them, we retain the right to change the Charities dependent on its state or performance in relation to other organisations supporting the same cause (for example, if they are de-registered as a charity or has a sanction listed against them), in which case you shall be notified by email to the email address associated with your account.

The Website is always evolving and the form and nature of the Website may change from time to time without prior notice to you. In addition, Omnate may stop (permanently or temporarily) providing our Services (or any features within the Website) to you or to users generally and may not be able to provide you with prior notice. We also retain the right to create limits on use at our sole discretion at any time without prior notice to you.

Your Monthly Donations

When you submit your credit or debit card details on our Website, you authorise us to request funds from your credit or debit card provider on the 1st day of every month (+/- 1 day depending on your timezone) until you pause or cancel your donations (see below). When we receive cleared funds from you we will make sure that they are allocated evenly between the Charities for each of your selected Causes.

We are responsible for requesting the correct funds from your credit or debit card provider, and allocating the funds we receive to the correct Charities. We can only accept responsibility to you for a donation reaching the Charities once we have received the funds from your credit or debit card provider. It is your credit or debit card provider's responsibility to make sure that the funds reach us.

If we are unable to make a payment or we feel that it is not appropriate to pass on a donation to the Charities (for example, if any Charities are de-registered as a charity or has a sanction listed against them) then we will contact you to arrange the return of the donation or payment to you in full. If we are unable to contact you then Omnate, at its discretion, will select an appropriate, alternative organisation from the Charities to pass the donation or payment to.

Editing, Pausing or Cancelling Donations

You can at anytime edit the amount of, pause or cancel your monthly donations through your account. Upon pausing or cancelling your monthly donations, we will stop all future donations until you resume your donations. You can also edit your selected Causes through your account, at which point all future donations will be allocated to each of the Charities represented by those selected Causes.

Protecting Your Account

When you register with Omnate and choose a password to protect your secure account, you are responsible for maintaining the confidentiality of your password to prevent others gaining access to your account and your personal information. If you become aware of any unauthorised use of your account, we recommend that you change your password immediately and notify us at: [email protected]

Use Of Your Donations

Please note that the Charities will use your donation at their discretion, but within their stated objectives. As we do not monitor or control the Charities activities, we shall not be responsible for the use or non-use of any donation that you make through our Services. If you want your donation to be used for a specific purpose or for a particular appeal you should contact the organisation and make your donation directly to them.

Consent & Execution

By submiting your credit or debit card details on our Website you authorise us to request funds from your credit or debit card provider, and to pass the funds (minus any transaction fee and processing fee (see below)) we receive to the Charities for each of your selected Causes.

We will refuse to process a transaction for you (such as stopping a donation) if we are not reasonably satisfied that:

Omnate Fees & Payment Process

Omnate charges a small transaction fee on every donation made on the Website to cover its costs. The fee is currently 2% of the gross donation. Donations are also subject to third party payment processing fees. As explained here, our Services have reduced third party payment processing fees allowing Omnate's transaction fee to not impact your donation amount when donating to multiple Charities.

All payments are to be made by payment card (e.g. a debit card or credit card) in US Dollars or Pounds Sterling. Donations are transferred to Charities banks monthly. Please note that we do not accept payment by cash or cheques.

Unauthorised Donations & Refunds

When a monthly donation is processed the transaction is final and not disputable unless unauthorised use of your payment card or other payment method is proved. If you become aware of fraudulent use of your card, or if it is lost or stolen, you must notify your card provider in accordance with its reporting rules.

If we receive a refund request from you after a donation has been allocated to the Charities, we may be unable to refund the money as the donation will be on its way to the Charities at that stage.

Omnate will never email or phone you and ask you to provide all of your payment details.

User Conduct

You must at all times use the Website in a responsible and legal manner and ensure that the content you provide does not breach any intellectual property rights of a third party or breach any right or duty owed to a third party. In particular, but not exclusively, you must not:

Privacy

Any information that you or other users provide to Omnate is subject to our Privacy Policy, which governs our collection and use of your information. You understand that through your use of the Website you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing and use by Omnate. As part of providing you the Services, we may need to provide you with certain communications, such as service announcements and administrative messages. These communications are considered part of the Services and your account, which you may not be able to opt-out from receiving.

The Services may contain links to third-party websites or resources. You acknowledge and agree that Omnate is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Omnate of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

Copyright

All Content is protected by the applicable intellectual property and proprietary rights and laws. You may copy Content for your own personal, non-commercial use provided you do not alter it or remove any copyright, trade mark or other proprietary notice, and that your usage complies with any requests you may receive from any person with rights in that content. No other use of the Website's content is permitted without the express prior permission of Omnate, and, where applicable, the copyright holder.

By visiting or using the Website, you agree not to (and not to use any tool, program, script, browser extension or other technique, including bots, robots, spiders and scrapers and any similar tools or methods, in order to): (i) copy (except as authorised by these Terms), mirror, frame, index, scrape, mine or otherwise gather or extract any of the content or data from the Website; or (ii) sell or distribute any data which is gathered or extracted in breach of these terms, or which is based on or derived from any such data. Omnate may take any measures it sees fit to block access to the Website where it believes that these Terms have been or will be breached. You agree that you will not take any steps to try to circumvent these measures and that you will not take any steps to mask your IP address. You acknowledge and agree that where there is any actual or threatened breach of these Terms, damages may be an inadequate remedy and Omnate shall be entitled, without prejudice to any other rights and remedies it may have, to seek an injunction or any other equitable relief for such breach. Omnate may also request that you destroy any data you have gathered or extracted in breach of these terms and you agree that you will comply with such request promptly and certify the same.

Changes to the service

We will make every effort to ensure that our Services are available continuously, but we reserve the right to change, suspend or discontinue all or any part at any time with or without notice. We cannot guarantee uninterrupted access to the Website and we do not guarantee its operation or availability.

Failure To Comply With These Terms

In the event that you commit a breach of these Terms of Service, Omnate reserves the right at its sole discretion to immediately and without notice suspend or permanently deny your access to all or part of the Website.

Termination

You may discontinue use of the Website at any time. These Terms will continue to apply to past use by you.

Disclaimer And Limitation Of Liability

You use our Services at your own risk. We are not liable for any loss or damage which you may suffer through the use of our Services.

Third Party Rights

A person who is not a party to these Terms of Service has no right to enforce any term of these Terms of Service.
